UPDATE: On December 3, the U.S. District Court for the Eastern District of Texas issued a nationwide preliminary injunction blocking the enforcement of the Corporate Transparency Act (CTA) and its Beneficial Ownership Information (BOI) reporting requirements. This means that businesses are not currently required to comply with the January 1, 2025 filing deadline.
While the preliminary injunction is in effect, businesses should monitor the situation closely, as it could be overturned. They may choose to proceed with compliance efforts or voluntarily file their BOI information before the year-end, although this is not legally required. Please contact us if you have any questions.

The Corporate Transparency Act (CTA) is a new law that requires certain businesses to report information about their beneficial owners to the government. This is designed to help fight money laundering and other crimes.
Who needs to report?
- Most new businesses formed after January 1, 2024 need to report within 90 days.
- Existing businesses need to report by January 1, 2025.
- There are some exceptions, like publicly traded companies and certain already regulated businesses.
- Beneficial ownership reporting applies to many reporting entities including LLCs, and even LLCs not operating businesses such as those that may exist only for estate or liability planning.
What information needs to be reported?
- Information about the people who really own or control the business (beneficial owners). This includes their name, address, and date of birth.
What happens if I don’t report?
- There can be civil penalties, criminal fines, and even jail time.
